1. This is an agreement between Licensor (Embedded Computers, LLC) and Licensee, who is being licensed to use the FlashcatUSB software, further referred to as "Software". This applies to the compiled binaries (i.e. FlashcatUSB.exe), firmware and the open-source software.

2. Licensee acknowledges that this is only a limited nonexclusive license. Licensor is and remains the owner of all titles, rights, and interests in the Software.

3. The Software is provided free for personal use only. Any commercial use is strictly prohibited unless Licensee receives written permission or acquires an additional commercial license directly from Embedded Computers LLC (email: contact@embeddedcomputers.net) or any authorized representative.

4. The Licensee MUST NOT SELL or PUBLISH the Software without prior written permission from Embedded Computers LLC.

5. Embedded Computers LLC retains the right to change the terms of this license without notice at any time for any reason.

6. The Licensee MUST NOT use the Software on non-authentic hardware or any device not manufactured by Embedded Computers LLC, this includes hardware clones, standalone microcontroller kits or other development kits of any kind. Only GENUINE hardware produced by EmbeddedComputers.net and sold through authorized reseller channels may constitute authentic hardware. 

7. This Software is subject to a limited warranty.

8. Licensee agrees to defend and indemnify Licensor and hold Licensor harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from Licensee's business operations.

9. Licensor has the right to terminate this License Agreement and Licensee's right to use this Software upon any material breach by Licensee.

10. Licensee agrees to return to Licensor or to destroy all copies of the Software upon termination of the License.

11. This License Agreement is the entire and exclusive agreement between Licensor and Licensee regarding this Software. This License Agreement replaces and supersedes all prior negotiations, dealings, and agreements between Licensor and Licensee regarding this Software.

12. This License Agreement is valid without Licensor's signature. It becomes effective upon the earlier of Licensee's signature or Licensee's use of the Software.
